Abstract Text Connecting factors constituting jurisdiction and applicable law in international contracts in Europe, the U.S. and China can be sub-divided into two categories: 1) Those related to a party's presence in a state, and 2) Actions a party performs in a state. Of special importance for online contracts are actions taking place before contract formation and constituting an invitation to treat, i.e. provision of an online shop and advertising. Online service providers can avoid abroad litigations by demonstrating a clear targeting intent towards a state. It will be discussed how businesses can show a clear targeting intent, whether it will be recognized by courts and how rulings could be adapted to better comply to the characteristics of online business.
Zusammenfassung In Europa, den U.S.A. und China sind in Verträgen mit internationalem Charakter die folgenden zwei Kategorien von Anknu?pfungsmomenten fu?r den Gerichtsstand und das anwendbare Recht von Relevanz: 1) Anwesenheit einer Vertragspartei im jeweiligen Staat und 2) Handlungen, welche eine Vertragspartei im jeweiligen Staat ausfu?hrt. Wird ein Vertrag im Internet abgeschlossen, sind besonders die Handlungen von Bedeutung, welche vor dem Zustandekommen des Vertrags stattfinden, also sogenannte invitations to treat, wie zum Beispiel ein Online-Geschäft oder Online- Werbung. Gerichtsverfahren im Ausland können durch sich auf den Zielmark richtende Aktivitäten vermieden werden. Es soll aufgezeigt werden, wie dies bewerkstelligt werden kann, ob es von Gerichten anerkannt wird und wie Regulierungen an die Besonderheiten des Internets angepasst werden könnten.
