This article examines the recent regulatory developments with regard to short selling. Short selling regulation is an important factor in firm governance because it affects the way in which firms are subject to market discipline. As the financial crisis has attracted regulators’ notice to short selling once again, it is important to understand the fundamental legal and economic arguments regarding short selling. These arguments have at their core the question of whether there exists a market failure. The available evidence on balance suggests that short selling restrictions hamper the price discovery process. Also, while regulations against market abuse are required, it is often an ineffective detour to pursue the goal of fair markets through the regulation of short selling. On the basis of these arguments, the article evaluates the approaches taken by the US and UK regulators, who play a leading part in the current movement towards more comprehensive short selling regulation. The US Securities and Exchange Commission's (SEC's) recently adopted rules do not seem to bring much added value and will presumably affect market efficiency in the negative. First principles suggest a somewhat more positive stance on the SEC's proposal for a circuit breaker rule and the UK. Financial Services Authority's proposed disclosure approach, though both are subject to caveats. We also highlight some central questions for future research.

We review and examine three market-based instruments to address the challenge of climate change: emission trading, emission taxes, and hybrid instruments. Our main contribution is the illustration and comparison of these instruments using recent results from theoretical research and practical policy experience. Hybrid policies that aim to combine taxes and permits emerge as a promising way forward. An additional contribution is that we also comment on two other related concepts, namely, innovation strategies and prediction markets. For the former, we show that, to make economic sense, the much publicized Asia-Pacific Partnership on Clean Development and Climate has to rely on the same basic tool as the other instruments, namely, relative prices. For the latter, we discuss how prediction markets can complement traditional scenario analysis by experts. They are likely to improve the practical implementation of all previously discussed methods.

Die Arbeit beschäftigt sich mit der dritten Unternehmenssteuerreform der Schweiz. Auf die Klärung der Frage, wie die Unternehmenssteuerreform im Vergleich zu den zwei vorange-gangenen Reformen steht, folgt eine Analyse des Steuerstreits zwischen der Schweiz und der EU und die sich daraus ergebenden Folgen für den Steuerstandort Schweiz. Der letzte Teil befasst sich mit den geplanten Kernpunkten der dritten Reform, inwiefern sie zur Schlichtung des Steuerstreits und der Verbesserung des Standorts beiträgt und was für Punkte nach der Reform auf die Steuerlandschaft der Schweiz zukommen wird.

In dieser Arbeit wird mit Hilfe von definierten Kriterien untersucht, welche Unternehmen potentielle Kandidaten für ein Going Private sind. Vor allem aber soll untersucht werden, ob ein Rückzug von der Börse tatsächlich die gewünschten Vorzüge bringt. Die Analyse der Case Study über Hero hat eindeutig hervorgebracht, dass sich das Going Private dieser Unternehmung sehr gelohnt hat. Unternehmerisch konnte sich die Firma erfolgreich eiterentwickeln, ohne auf die Börse angewiesen zu sein. Die Gründe sprachen eindeutig für das Public to Private und es wird empfohlen, dass andere Unternehmen, die sich in einer vergleichbaren Situation befinden, diese Alternative prüfen sollten.

Die vorliegende Bachelorarbeit untersucht den Zusammenhang von Value Reporting und Unternehmenswert. Diesbezüglich wurden Daten des Geschäftsberichtratings von 1999-2008 analysiert. Bei Unternehmen mit ausgeprägtem Value Reporting sind tiefere Aktienvolatilitäten und -renditen beobachtbar. Eine geringere Aktienperformance ergibt sich durch den Abbau von Informationsasymmetrien mit tieferer Risikokompensation. Zusätzlich lässt sich eine positive Korrelation zwischen Unternehmensgrösse und Value Reporting Qualität ermitteln. Eine Analyse der Unternehmenscharakteristika zeigt eine Dominanz von mittleren und grossen Unternehmen, welche hervorstechendes Value Reporting betreiben. Somit erfordert Value Reporting Fachwissen oder finanzielle Mittel, welche bei Kleinunternehmen nicht verfügbar sind. Branche oder Kotierung sind jedoch nicht ausschlaggebend.

This thesis investigates the impact of U.S. government backing announcements on credit default swap (CDS) spread changes of U.S., European and Japanese financial institutions during the financial crisis 2008 to 2009. An event study shows that CDS spreads of both U.S. and European financial institutions react significantly to support measures announced by U.S. federal agencies and the FED, although European firms only to a minor extent. These announcements effects are most pronounced for depository institutions and insurance companies. A regression analysis reveals that a certain level of ownership concentration is significantly related to CDS spread changes, whereas firm size has no significant influence.

This work analyzes the role of credit default swaps (CDSs) during the global financial crisis. It discusses their implied contribution to the turmoil and assesses recent regulatory propositions. Furthermore, the usability of CDS for anticipating credit events throughout the crisis is compared with ratings, bonds and stocks. Results show that on average ratings lag behind entity failure events by at least two days. In contrast, all market-based indicators reflect the increased hazard prior to such events. In addition, the research suggests that the stock and CDS markets clearly lead the bond market, while no clear leadership between stocks and CDS was found.
