Der Gesamtsieger des Schweizer Geschäftsberichte-Ratings heisst Liechtensteinische Landesbank. Auf Rang zwei liegt Geberit, gefolgt von Swisscom. Der Aufsteiger des Jahres in der Wertung Design ist Novartis. Der Aufsteiger Value Reporting heisst DKSH. Insgesamt 238 Unternehmen wurden durch drei Jurys bewertet.

This paper proposes a new measure of readability, the BOFIR score, which captures a wide range of textual attributes in disclosures. The measure is validated on a human-labeled dataset to gauge its performance. It vastly outperforms standard readability measures, indicating their misspecification in the context of business and finance reporting. The paper further shows the potential of the new readability measure and finds substantial differences in the reporting behavior of financial and non-financial firms.

We examine how corporate payout policy relates to equity compensation by analyzing data from listed US companies between 2004 and 2018. Our findings provide evidence for both the dividend protection and the EPS dilution channel through which equity compensation might affect payout policy. We find that share repurchases are positively related to total options and restricted stock issued to employees and executives. This indicates that firms repurchase shares in order to counter EPS dilution. Moreover, we find an incremental positive relation between executive stock options and share repurchases, suggesting that managers adjust corporate payouts to increase their personal wealth.

Neben den bekannten Kryptowährungen, wie beispielsweise Bitcoin, hat sich eine neue Anlageklasse entwickelt. Mittels Tokenisierung ist es möglich, reale Anlagen als digi-tale Repräsentation auf einer Blockchain darzustellen und somit Investoren zugänglich zu machen. In der vorliegenden Arbeit werden verschiedene Möglichkeiten einer In-vestition in das Krypto-Anlageuniversum vorgestellt. Es soll aufgezeigt werden, welche Opportunitäten hierbei für professionelle Investoren existieren und mit welchen Her-ausforderungen diese verbunden sind. Die Arbeit bildet dabei traditionelle Anlageklas-sen im Krypto-Anlageuniversum ab und erläutert diese anhand existierender Praxisbei-spiele. Dem Leser wird ein Überblick über die vorherrschenden regulatorischen Rah-menbedingungen auf nationaler, sowie internationaler Ebene verschafft. Abschliessend werden zukünftige Entwicklungen diskutiert.

Mit der Einführung des Kapitaleinlageprinzips im Jahr 2011 wurde eine neue, steuerfreie Aus-schüttungsvariante für Unternehmen ermöglicht. Die vorliegende Arbeit untersucht in diesem Zusammenhang den Einfluss von Steuern auf die Ausschüttungspolitik. Dabei werden die Ausschüttungshöhen und die verwendeten Arten der Ausschüttung von Schweizer Unter-nehmen untersucht. In der Analyse von 94 im Swiss Performance Index kotierten Unterneh-men über einen Zeitraum von 2007 bis 2017 zeigt sich, dass steuerfreie Ausschüttungen aus Kapitaleinlagereserven die bestehenden Ausschüttungsmöglichkeiten teilweise verdrängten. Damit wird klar, dass Steuern eine relevante Rolle spielen, wenn es um die Wahl der Aus-schüttungspolitik geht.

In dieser Arbeit wird untersucht, ob die Investitionsstrategie Merger Arbitrage im amerikani-schen Aktienmarkt während des Zeitraumes von 2000 bis 2017 eine signifikante Überrendite erzielt. Dabei wird insbesondere eine möglichst realitätsnahe Anwendung der Strategie, wel-che Transaktionskosten, maximale Portfoliogewichte und Liquiditätsbeschränkungen enthält, genauer analysiert. Dazu werden insgesamt 958 Cash Offers und Stock Swaps detaillierter untersucht. Es zeigt sich, dass ein gewichtetes Portfolio, analog zu den bisherigen Forschungs-resultaten, eine signifikante Überrendite von 0.85%-0.97% pro Monat erwirtschaftet. Die auf den ersten Blick hoch profitabel erscheinende Strategie erzielt bei der Betrachtung aus einer realitätsnäheren Perspektive eine deutlich schlechtere Performance. Für ein realitätsnäheres Portfolio mit zusätzlichen Annahmen lässt sich keine signifikante Überrendite feststellen.

This thesis examines the motives of bidders to voluntarily disclose deal-related synergy forecasts at deal announcements. The sample includes 1,425 U.S. deals, of which 381 deals are disclosing deals. Main disincentives of the disclosure decision are litigation risk and unsolicited offers. An analysis of the impact of synergy forecasts on short-term bidder cumulative abnormal stock returns around deal announcements reveals a positive impact of the synergy value, after controlling for the endogeneity of the disclosure decision. However, the analysis detects no significant impact regarding the disclosure decision itself on neither short-term nor long-term bidder cumulative abnormal stock returns.

This thesis examines whether the capital market fully values company’s intangible capital. Current U.S. accounting standards do not aloud internally-created intangible assets to be capitalized. For this reason, I compute a firm’s intangible capital by activating past R&D and SG&A spending. Based on the measure of intangible intensity, I construct a long-short portfolio strategy of all U.S. firms in the Compustat data base. The resulting portfolio analysis shows a marginally significant out-performance in future excess returns of high intangible-intensive firms over those of low intangible-intensive firms over the period from 1998 through 2017. Divided into two separate periods, the panel from 2008 to 2017 contains high intangible-intensive companies that generated risk-adjusted returns that exceeded those of low intangible-intense companies with high significance (alpha of 0.86 % per month of the long-short portfolio significant on the 1 % level). Overall, the thesis provides evidence that the capital market still misprices the value of stocks with high intangible capital. The higher future returns of high-intangible firms underline the increased importance of intangible capital for a firm’s valuation which investors fail to anticipate. To take full advantage of the benefits of intangible investments, not only investors, but also corporate managers need to be properly sensibilised in the subject of intangible capital.

This study explores the impact of exercise timing of buyout real options on the acquirer’s shareholder value when announcing to extend its commitment in a high-technology target. Buyout real options arise when purchasing a minority stake in a target and are exercised when extending the investment into a controlling interest. Markov decision processes applied to identify optimal exercise decisions indicate that when acquiring a public target, there is an economically and statistically significant positive association between optimal exercise timing and the cumulative abnormal announcement return to the acquiring firm. No such conclusion can be drawn for acquirers seeking to enter new high-technology industries.

This study examines the effect of private equity (PE) involvement on the post-exit operating performance of portfolio companies. The analysis is based on a sample of 82 private equity backed UK companies over 2009 and 2017 and a matched control sample. The results indicate a positive PE effect on return on sales in the post-exit period. An equivalent clear pattern cannot be identified for return on assets. When restricting the analysis to the sub-samples, the results suggest that more reputable funds positively and significantly impact the post-exit profitability of PE-backed firms, whereas exit route is weakly associated with operating profitability.

The purpose of this study is to analyze the annual reports of seven Swiss companies in terms of content and topic. The study reveals that the annual reports consist mainly of information on Financial Accounting and Corporate Governance. Disclosure on matters such as Environment, Employees, Social, and Compensation of the Employees all rely on the industry. Information on Competition and Strategy is on average low. Another result indicates that the volume of annual reports is constantly increasing.

We use a repeated sender-receiver game in which sender behavior is revealed to future counterparts by (i) standardized computer reports or by (ii) individual reports composed by the receivers, representing a common form of consumer feedback. Compared to our baseline without reporting, computer reports reduce deception in all payoff scenarios while the effect of individually written reports is lower and in some scenarios only marginal. This comparably weaker impact can be explained by the senders’ anticipation of a high number of missing or deficient receiver reports that we find. We conclude that the precision of a reporting system has a higher importance for reducing deception than its personal character via individual feedback. Surprisingly, the reliability of computer reports is not correctly anticipated by receivers, who trust individually written reports more in the beginning and hence seem to back the wrong horse initially.

Innerhalb dieser Bachelorarbeit wurden durch eine umfangreiche Umfrage die Sichtweisen von Pensionskassen, schweizerischer und internationaler, institutioneller Investoren und Schweizer Emittenten zu ausgewählten aktuellen Themenbereichen der Grundsätze der Coporate Governance ausgewertet. Dabei wurden aktuelle Herausforderungen und Fragen zu Aktionärsrechte, Regulierung, Verwaltungsrat, Vergütung, Audit, Payout und Corporate Social Responsibility untersucht. Zusätzlich wurden die diesjährigen Resultate zwischen den verschiedenen Teilnehmergruppen mit den Ergebnissen der Corporate Governance-Umfragen der letzten Jahren verglichen und die dazugehörige Entwicklung und entstandenen Differenzen interpretiert. Die Umfrage hat ergeben, dass sich die Marktteilnehmer grösstenteils einig sind.
